We acted for Helicap Fund I Pte. Ltd., a Singapore-based fintech fund management and investment platform specializing in the alternative lending space in Southeast Asia, Hong Kong, and Australia, in relations to its financing of up to US$15 million to iCare Benefits SEA Holdings Pte. Ltd. with iCare Benefits (Cambodia) Co., Ltd. and iCare Leasing Plc, acting as guarantors and security providers, for the purpose of their acquisitions of Buy Now Pay Later and leasing products in Cambodia.Our assistance includes (i) preparing Cambodian law governed guarantee agreement and security over asset and rights agreements; (ii) filings of security agreements with the Secured Transactions Filing Office of Cambodia; and (iii) issuing an enforceability legal opinion on the guarantee and security agreements under Cambodian law perspective.The deal was significant for its financial contribution and proof of resounding trust to an ongoing and reputable financial lease business (with particular emphasis on its operations in Cambodia) with material impact to the creation of long-term sustainable purchase cycle and financial inclusion of underserved and unbanked community of low-wage female factory workers and their families in Cambodia.
